Terms of Service

Welcome to DuoSeat. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Host,” “Joiner,” or “Attendee”) and DuoSeat LLC (“DuoSeat,” “we,” “us,” or “our”). By accessing or using the DuoSeat mobile application or any related websites, content, or services (collectively, the “Service”), you agree to these Terms. If you do not agree, discontinue use of the Service immediately.

1. About the Service

DuoSeat is a technology platform that allows Users to post or join invitations for events, activities, or experiences. DuoSeat is not an event organizer, promoter, producer, venue operator, transportation provider, ticketing company, or safety authority. All events are user-created and user-managed.

DuoSeat does not own, operate, control, or supervise the events, venues, activities, Users, or outcomes associated with the Service.

2. No Safety Guarantee

You acknowledge and agree that:

• DuoSeat does NOT screen Users.
• DuoSeat does NOT conduct background checks, criminal checks, or identity verification beyond optional platform features.
• DuoSeat does NOT supervise, control, or oversee in-person interactions.
• DuoSeat does NOT guarantee the safety, conduct, behavior, intentions, or compatibility of any User.
• DuoSeat does NOT guarantee that Users are who they claim to be.
• Verification badges, if offered, do NOT guarantee identity or safety.
• Participation in any experience involves inherent risks, including personal injury, illness, assault, property loss, emotional distress, or death.

You assume all such risks voluntarily and knowingly.

3. Release of Liability

To the fullest extent permitted by law, you hereby release, waive, and hold harmless DuoSeat LLC, its owners, directors, officers, employees, contractors, agents, and affiliates from ANY AND ALL claims, demands, losses, damages, injuries, liabilities, disputes, or causes of action, known or unknown, arising out of or related to:

• Attending or participating in any event
• Interacting with other Users
• Transportation to or from an event
• Online or in-person communication
• Ticket validity or access issues
• Misrepresentation or conduct of Users
• Criminal acts, negligence, or intentional acts of Users or third parties
• Host cancellations, venue issues, or event changes

This release applies EVEN IF DuoSeat is alleged to be negligent.

4. Not a Ticket Seller or Reseller

DuoSeat does not purchase, sell, transfer, broker, authenticate, or guarantee tickets. Hosts are solely responsible for holding valid admission passes. DuoSeat is not liable for invalid, fraudulent, lost, stolen, misrepresented, or unusable tickets or for denial of entry by venues.

5. User Eligibility

Users must be at least 18 years old and legally able to enter contracts. DuoSeat may suspend or terminate accounts at its sole discretion and without notice.

6. User Conduct

Users agree NOT to:

• Engage in harassment, threats, violence, discrimination, or illegal conduct
• Use the Service for dating, solicitation, escorting, reselling tickets, or commercial gain
• Post false, misleading, or deceptive information
• Endanger others or participate in unsafe behavior
• Upload copyrighted or unauthorized materials

DuoSeat may remove any User or content at its sole discretion.

7. Host Responsibilities

• Hosts must provide accurate event information.
• Hosts may cancel ONLY before a Joiner accepts.
• Canceling after a Joiner joins results in a strike.
• Repeated or abusive cancellations may lead to suspension or removal.
• Hosts are fully responsible for communication, behavior, and event coordination.

8. Joiner Responsibilities

• Joiners agree to attend after joining.
• Joiners understand that the Host controls ticket access.
• Failure to attend may result in strikes, penalties, or suspension.
• Joiners must exercise personal judgment and safety precautions.

9. Fees and Payments

Joiners may pay a fee for certain experiences. Payments are processed exclusively through Apple’s in-app purchase system. DuoSeat does not store payment information. All fees are non-refundable unless required by law.

DuoSeat may modify fees at any time.

10. User Content License

By posting content (including event descriptions, profiles, images, and messages), you grant DuoSeat a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, distribute, and display such content for purposes of operating and improving the Service.

You represent and warrant that you own or have permission to use all posted content.

11. Copyright Policy (DMCA)

If you believe your copyrighted work has been used on DuoSeat without authorization, you may submit a notice to legal@duoseat.com. DuoSeat may remove or disable content at its discretion.

12. No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. DuoSeat disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. DuoSeat does not guarantee uptime, availability, or accuracy.

13. Limitation of Liability

To the fullest extent permitted by law, DuoSeat shall NOT be liable for any:

• Personal injury or death
• Property damage or theft
• Emotional distress
• Loss of data or profits
• Misconduct of Users or third parties
• Consequential or incidental damages
• Event cancellations, weather changes, or venue issues

This applies even if DuoSeat has been advised of the possibility of harm.

14. Transportation Disclaimer

Users are solely responsible for transportation to and from events. DuoSeat does not guarantee or provide transportation, parking, rideshares, or travel arrangements.

15. Independent Verification

Users are responsible for independently verifying event details, ticket validity, host identity, and safety considerations.

16. Arbitration Agreement & Class Action Waiver

All disputes shall be resolved exclusively through binding arbitration in Colorado. Users waive the right to:

• Jury trials
• Class actions
• Collective or representative claims

17. Indemnification

You agree to indemnify and hold harmless DuoSeat from any claims arising from your actions, conduct, or use of the Service.

18. Modifications

DuoSeat may update these Terms at any time. Continued use constitutes acceptance.

19. Assignment

DuoSeat may assign or transfer these Terms in connection with a merger, acquisition, sale, or restructuring.

20. Severability

If any provision is held invalid, the remaining portions remain in effect.

21. Governing Law

These Terms are governed by the laws of the State of Colorado and applicable U.S. federal law.
